Welcome to My Wedding Palette. We’re excited to have you showcase your services on our platform, connecting you with couples planning their weddings. This Vendor Agreement outlines the terms and conditions that apply when you use our services. Please read this agreement carefully before registering as a vendor on My Wedding Palette.

1. Introduction:

1.1 Who We Are

My Wedding Palette ("Platform," "we," "us," ”MWP” or "our") is an online platform designed to help wedding vendors connect with couples who are planning their special day. By providing a comprehensive directory of wedding vendors, we aim to simplify the wedding planning process for couples and give vendors a powerful way to reach their target audience.

1.2 Acceptance of Terms

By registering as a vendor and creating a profile on My Wedding Palette, you acknowledge and agree to abide by MWP terms and conditions. Your registration and profile creation constitute your acceptance of this Agreement. If you do not agree with any part of this Agreement, you should not register or use our services. This Agreement may be updated from time to time, and your continued use of the platform signifies your acceptance of any changes.

2. Vendor Registration and Responsibilities

2.1 Eligibility and Registration

To become a vendor on our platform, you must complete the registration process and provide accurate, current, and complete information about your business. You must ensure that your profile information remains up-to-date at all times. Failure to maintain accurate information may result in the suspension or termination of your vendor account.

2.2 Vendor Profile and Content

Vendors are responsible for the content they upload to their profiles, including service descriptions, images, pricing, and availability. You agree to:

  • Ensure all information is accurate and not misleading.
  • Obtain all necessary rights and permissions for any content you upload.
  • Maintain high standards in the services you provide and deliver as advertised on your profile.
2.3 Prohibited Activities
  • Posting false or misleading information
  • Engaging in fraudulent activities or scams
  • Using the platform to transmit spam, viruses, or other harmful code.
  • Attempting to access unauthorized areas of the platform or data.
  • Collecting personal information from users for unauthorized purposes
2.3 Prohibited Activities

You are responsible for maintaining the confidentiality of your account login details. Notify us immediately if you suspect any unauthorized use of your account. My Wedding Palette will not be liable for any loss or damage arising from your failure to protect your account information.

3. Services and Fees

3.1 Profile Listing and Visibility

Your profile will be showcased on My Wedding Palette, allowing couples to discover and contact you. While we strive to provide excellent visibility, we do not guarantee any specific number of leads or business outcomes. Profile visibility may be influenced by various factors, including user preferences and platform algorithms.

3.2 Fees and Payments

Vendors must pay a fee for listing their profile on the platform. This fee covers the cost of showcasing your profile and is non-refundable. All fees are clearly stated during the registration process and may vary based on the level of exposure and additional services selected.

3.3 Renewals and Cancellations

Vendor subscriptions may automatically renew at the end of each term unless you cancel before the renewal date. To cancel, follow the instructions provided on the platform. Please note that all fees paid are non-refundable, even if you choose to terminate your subscription early.

3.4 Payment Methods

Payments must be made using the authorized methods provided on the platform, such as credit card or bank transfer. Vendors are responsible for ensuring that their payment information is current and accurate.

  • Ensure all information is accurate and not misleading.
  • Obtain all necessary rights and permissions for any content you upload.
  • Maintain high standards in the services you provide and deliver as advertised on your profile.

4. Lead Generation and Limitation of Liability

4.1 Lead Generation

While we strive to connect you with potential clients, My Wedding Palette does not guarantee a specific volume of leads or engagements. Any statistics or insights provided are for informational purposes only and do not promise specific outcomes.

4.2 Limitation of Liability

My Wedding Palette is not liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the platform, including but not limited to:

  • Loss of business, revenue, or profits.
  • Technical issues or interruptions
  • Disputes with couples or third parties
  • Any other liability arising from your use of the platform.
4.3 Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis. My Wedding Palette disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

4.4 Force Majeure

My Wedding Palette is not responsible for any failure to perform due to circumstances beyond our control, including but not limited to acts of God, natural disasters, war, labor disputes, or internet service disruptions

5. Vendor Content and Intellectual Property

5.1 Content Responsibility

You are solely responsible for the content you upload or display on the platform. You must ensure that all content complies with applicable laws and does not infringe on the intellectual property rights of third parties.

5.2 License to Use Content

By uploading content to My Wedding Palette, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content.

5.3 Intellectual Property Rights

My Wedding Palette owns all rights, titles, and interests in and to the platform, including all associated intellectual property rights. You agree not to use any My Wedding Palette trademarks, logos, or service marks without our prior written consent.

5.4 Third-Party Content

You must ensure that any third-party content used on your profile complies with all applicable laws and regulations. My Wedding Palette is not responsible for any third-party content posted by vendors.

5.5 Virtual Venue Tour (For Venue Partners)

The virtual venue tour created by My Wedding Palette (MWP) for the vendor is the intellectual property of MWP. The vendor is granted the right to use the virtual tour for marketing purposes, including publishing it on their website. However, the virtual tour cannot be used for any illegal activities or in a manner that could cause harm to clients, MWP, or any other parties. By agreeing to have a virtual tour created, the vendor consents to its use by MWP for marketing, promotional, and business purposes.

6. Termination and Suspension

6.1 Termination by Vendor

You may choose to terminate the paid services and features associated with your vendor profile at any time by providing written notice to us. However, termination of paid services does not automatically result in the removal of your profile from My Wedding Palette. Your profile will still be accessible to couples for exploration, but any features provided under the paid packages will be disabled.

6.2 Termination by My Wedding Palette

We reserve the right to suspend or terminate your access to certain features of the platform for any reason, including:

  • Breach of this Agreement.
  • Unlawful activities or actions that harm the platform's reputation.
  • Negative feedback from users or unresolved disputes.

Your profile information will still remain accessible on the platform for couples to explore unless a request for profile removal is submitted and approved as detailed in Section 6.3.

6.3 Profile Removal and Business Closure

If you wish to remove your profile entirely from My Wedding Palette, including cases of business closure, you must reach out to us at mwp@myweddingpalette.com. Upon receiving your request, we will conduct a satisfactory investigation. Only upon completion of this process and verification of your request will the profile be removed from the platform.

6.4 Effect of Termination

Upon termination of paid services, any additional features, promotions, or benefits associated with your package will be deactivated. Your profile will continue to be available for viewing by potential clients, allowing couples to explore your services based on the information you have provided.

7. Confidentiality and Privacy

7.1 Confidential Information

Vendors agree to keep confidential any proprietary information disclosed by My Wedding Palette and not to disclose such information to third parties without prior consent.

7.2 Privacy Policy

By using our platform, you acknowledge and agree to our privacy policy, which governs the collection, use, and disclosure of personal information. Vendors must comply with all applicable data protection laws.

7.3 Data Use

My Wedding Palette may collect and use data regarding your activities on the platform to improve services and provide insights. This data may be shared with third parties in aggregate form, without revealing personally identifiable information.

8. Indemnification

8.1 Vendor Indemnity

You agree to indemnify and hold harmless My Wedding Palette, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to:

  • Your use of the platform.
  • Breach of this Agreement.
  • Any disputes with couples or third parties
  • Any claim that content posted by you infringes on third-party intellectual property rights.

9. Dispute Resolution

9.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Maharashtra, India, without regard to its conflict of law principles.

9.2 Arbitration

Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in Mumbai, Maharashtra, India. The arbitration shall be conducted under the rules of Indian Judicial law. The decision of the arbitrator shall be final and binding on both parties.

9.3 Jurisdiction

If arbitration is not applicable, any legal action shall be brought exclusively in the courts located in Mumbai, Maharashtra, India.

10. Miscellaneous

10.1 Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.

10.2 Amendments

We may update or amend this Agreement from time to time. Your continued use of the platform after such changes indicates your acceptance of the revised terms.

10.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

10.4 Waiver

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

10.5 Assignment

You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement without restriction.

10.6 Notices

All notices under this Agreement shall be sent to the contact information provided during registration or as updated in writing.

This Agreement does not create any partnership, joint venture, employment, or agency relationship between the parties. Vendors are independent contractors.

11. Receive Updates

The Vendor Partner hereby consents to receive updates / communication on news, promotions via emails / SMS / whatsapp or other messaging apps from the Company, in addition to calls/messages to understand the Vendor Partner’s requirements and the nature of service and also for sharing the leads to the Vendor Partner.

11.1 Enrolment: Vendor Partner shall enroll and register on the Website / App on the terms and conditions set forth herein below

To begin the enrolment process, Vendor Partner must complete the registration process for availing the services of Website/App. As part of the application, Vendor Partner is to provide the Company with its business name, address, phone number, e-mail address and other relevant business details. By registering on the Website / App, you confirm that the mobile number submitted by you for verification / registration or alternative number if any provided, is not registered with the Do Not Disturb / National Customer Preference Register and you shall not initiate any complaint. You further confirm that even if you are registered with the telecom service provider under the category Do Not Disturb / National Customer Preference Register the calls from My Wedding Palette either to the verified mobile number or alternative number if any provided shall not be treated as promotional calls. By using Website / App, you hereby consent to receive communication including promotional communications through any medium of communications such as electronic mails, calls, SMS or through Whatsapp messages from MCL or other portals owned by MCL or its alliance partners or service providers.

11.2. Company at its own discretion, will list the Vendor Partner on the Website / App based on the information provided by the Vendor Partner. Upon listing, the Vendor Partner will be eligible for subscription plan and will be provided authorized access credentials subject to terms and conditions. Company may at any time cease providing any or all of the Services at Company’s sole discretion and without notice. Any personal and sensitive information provided to Company will be handled in accordance with Company’s privacy terms.
